Terms of Service

1. Introduction

Welcome to AdBooker. These Terms of Service ("Terms") govern your access to and use of AdBooker's website, platform, and services (collectively, the "Service") operated by AdBooker ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

AdBooker is a self-serve booking and payment platform for newsletter sponsorships. The Service enables:

  • Creators to publish booking pages, define sponsorship slots, set pricing, configure volume discounts, and receive payments for newsletter advertising.
  • Sponsors to browse available sponsorship slots, select publication dates, upload advertising assets, and complete secure payments.

AdBooker acts solely as a technology platform facilitating transactions between Creators and Sponsors. We are not a party to any agreement between Creators and Sponsors, nor do we provide editorial, advertising, or marketing services.

3. User Accounts

3.1 Creator Accounts

To use AdBooker as a Creator, you must create an account providing accurate and complete information, including your email address, first name, and last name. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Promptly notifying us of any unauthorized use
  • Completing Stripe Connect onboarding to receive payments

3.2 Sponsor Access

Sponsors interact with the Service primarily as guests. A soft account is automatically created based on email address upon first purchase. Sponsors may receive magic links to access their orders and update assets within permitted timeframes.

4. Orders and Payments

4.1 Booking Process

When a Sponsor selects sponsorship slots and proceeds to checkout:

  • Selected slots are temporarily reserved pending payment completion
  • Reservations expire if payment is not completed within the specified timeframe
  • All required advertising assets must be uploaded before checkout
  • Orders may include multiple publication dates for the same slot template within a single newsletter

4.2 Payment Processing

All payments are processed through Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's terms of service. Creators receive payments directly through Stripe Connect Standard accounts.

Prices are displayed in the currency configured by the Creator. Volume discounts, if configured by the Creator, are automatically applied based on the number of slots purchased.

4.3 Payment Confirmation

Upon successful payment:

  • The order status transitions to "paid"
  • Reserved slots become "booked"
  • Confirmation emails are sent to both Sponsor and Creator
  • A magic link is provided to the Sponsor for order management

5. Cancellations and Refunds

5.1 Sponsor Cancellations

Once an order is paid, Sponsors cannot unilaterally cancel or modify their booking through the Service. Any cancellation requests must be directed to the Creator, who may process refunds at their discretion through Stripe.

5.2 Creator Rejections

Creators reserve the right to reject orders that violate their advertising policy. In such cases:

  • The Creator must provide a rejection reason
  • The order status changes to "rejected"
  • Booked slots return to "available" status
  • Refunds are processed manually through Stripe by the Creator
  • The Sponsor is notified via email with the rejection reason

5.3 Platform Cancellations

AdBooker reserves the right to cancel orders or suspend accounts that violate these Terms, applicable laws, or third-party rights.

6. Advertising Assets

6.1 Asset Requirements

Sponsors must provide advertising assets according to the specifications defined by the Creator for each slot template. This may include text content, URLs, images, and other materials.

6.2 Asset Modifications

Sponsors may update their uploaded assets until the asset cutoff deadline, which is typically 48 hours before the first publication date in the order (or as configured by the Creator). After this deadline, assets become read-only.

6.3 Content Responsibility

Sponsors are solely responsible for ensuring that their advertising assets:

  • Do not infringe any intellectual property rights
  • Comply with all applicable advertising laws and regulations
  • Are truthful and not misleading
  • Do not contain prohibited content (illegal, harmful, offensive)
  • Comply with the Creator's advertising policy

7. Creator Obligations

Creators using the Service agree to:

  • Maintain accurate availability and pricing information
  • Publish sponsored content on the dates specified in booked orders
  • Process rejections promptly and provide clear reasons
  • Handle refunds through Stripe in accordance with their stated policies
  • Comply with all applicable laws, including advertising disclosure requirements
  • Maintain an active Stripe Connect account in good standing

8. Prohibited Conduct

Users of the Service may not:

  • Use the Service for any illegal purpose or in violation of any laws
  • Submit false, misleading, or fraudulent information
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated systems to access the Service without permission
  • Circumvent any security features of the Service
  • Impersonate any person or entity
  • Engage in any activity that could harm the reputation of AdBooker

9. Intellectual Property

9.1 AdBooker Property

The Service, including its design, features, and content created by AdBooker, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

9.2 User Content

Users retain ownership of content they submit to the Service. However, by submitting content, you grant AdBooker a worldwide, non-exclusive, royalty-free license to use, store, and display such content solely for the purpose of operating and improving the Service.

10. Disclaimers and Limitations of Liability

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

AdBooker does not guarantee:

  • The Service will be uninterrupted, secure, or error-free
  • Any specific results from using the Service
  • The quality, accuracy, or reliability of any content or transactions
  • That Creators will fulfill their obligations to Sponsors

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADBOOKER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ADBOOKER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (EUR 100).

11. Indemnification

You agree to indemnify, defend, and hold harmless AdBooker and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit to the Service
  • Any dispute between you and another user of the Service

12. Dispute Resolution

12.1 Between Users

Disputes between Creators and Sponsors should be resolved directly between the parties. AdBooker is not responsible for mediating or resolving such disputes, though we may provide assistance at our discretion.

12.2 With AdBooker

Any dispute arising from these Terms or the Service shall be governed by the laws of Italy. You agree to first attempt to resolve any dispute informally by contacting us. If informal resolution is unsuccessful, disputes shall be submitted to the exclusive jurisdiction of the courts of Milan, Italy.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

14. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account and associated data
  • Provisions that by their nature should survive termination will remain in effect

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and AdBooker regarding the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
